Embrace the New Year Official Rules

By entering in and participating in the "Embrace the New Year" promotion, all entrants agree to the following:

1. NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS OF THE UNITED STATES, CANADA, AND THE UNITED KINGDOM ONLY AND VOID WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY.

2. Eligibility
    The "Embrace the New Year" promotion (the "Sweepstakes") consists of one (1) giveaway for an Embrace Chair by Elgato. The Sweepstakes is open to legal residents of the United States, Canada, and the United Kingdom who are at least eighteen (18) years old at the time of entry. It is the entrant's responsibility to ensure that their participation is not prohibited by local laws.

3. Ineligibility and Prohibited Activity
    Employees, independent contractors, interns, officers, directors, and agents of ToeKneeTM and llBizarre(collectively, the "Sponsors"), and their respective affiliate organization, subsidiaries, and their immediate family members (spouse, parents, siblings, and children) or those living in the same household of each such person are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

    No reshippers allowed. Entries using forwarding (reshipping) services to addresses outside of eligible territories may be disqualified. Entrants must not use bots, macros, scripts, VPNs, or any other automated means. Suspicious entries or entries from known giveaway-only accounts may be disqualified at the Administrator's sole discretion.

4. Sponsor and Administrator
    ToeKneeTM acts as the Sweepstakes Administrator. The Sweepstakes is sponsored by llBizarre and ToeKneeTM. The Sweepstakes is administered by ToeKneeTM ("Administrator"), located near P.O. Box 961, Madras, Oregon 97741, streaming online at https://www.Twitch.tv/ToeKneeTM.

5. Agreement to Official Rules
    By entering the Sweepstakes, you ("You," "Entrant") fully and unconditionally agree to and accept these Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all matters related to the Sweepstakes. Entrants should look solely to the Sponsor or Administrator with any questions, comments, or issues related to the Sweepstakes. Acceptance of the prize constitutes acceptance of these Official Rules.

6. Sweepstakes/Entry Period
    The Sweepstakes Period begins on December 27, 2025, at 03:00:00 PM Pacific US Time (UTC-8) and ends on January 9, 2026, at 11:59:59 PM Pacific US Time (UTC-8) ("Sweepstakes Period"). Any entries submitted before or after the Sweepstakes Period will not be eligible.

7. How to Enter
    This promotion is hosted on Gleam.io. How to Enter: You must enter the giveaway by using the online form(s) provided at the corresponding Gleam.io link and pass any verification requirements (such as email or fraud score) set by the Sponsor or Administrator. Your entry must fulfill all requirements of the Sweepstakes as specified to be eligible to win a prize. Entries that are incomplete, or that do not adhere to the rules or specifications, may be disqualified at the sole discretion of the Administrator. ADDITIONAL ENTRY OPPORTUNITIES MAY BE ADDED THROUGHOUT THE GIVEAWAY PERIOD. Check the corresponding Gleam.io giveaway page regularly.

    You must provide the requested information. You may not enter more times than indicated by using multiple email addresses, identities, or devices to circumvent these rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your entry may be disqualified at the sole discretion of the Administrator.

    The maximum number of entries varies by individual giveaway. You must check each contest's corresponding Gleam.io page for the maximum number of entries allowed. All entries become the property of the Administrator and will not be acknowledged or returned.

    Entrants should ensure their email address is valid and capable of receiving notifications. To minimize lost or misdirected notifications, add alohatoeknee@gmail.com to your safe senders list. The Administrator will not send unsolicited emails outside of what is required for this promotion unless you have explicitly opted in to receive notifications about other contests or promotions.

8. Prizes
    The prize for this giveaway is:

    - One (1) Embrace Chair by Elgato (ARV US$499.99, CA$649.99, UK£499.99)

    Actual/appraised value of prizes may differ at time of award. The specifics of the prize shall be solely determined by the Administrator. No cash or other prize substitution shall be permitted except at the Administrator's sole discretion. The prize is non-transferable. Substitution of the prize, or transfer/assignment of the prize to others, or request for the cash equivalent is not permitted, except at the Administrator's discretion.

    Any and all prize-related expenses, including without limitation any and all federal, state, local taxes, VAT, GST, duties, or fees, shall be the sole responsibility of the winner. Acceptance of a prize constitutes permission for the Sponsor and Administrator to use the winner's name, likeness, and entry for advertising, trade, and promotional purposes without further compensation, unless prohibited by law.

9. Odds of Winning
    The odds of winning depend on the number of eligible entries received during the applicable Entry Period.

10. Winner Selection and Notification
    Winner will be selected by random draw under the supervision of the Administrator on January 10, 2026 ebtween the hours of 3:00pm and 6:00pm Pacific live on https://www.Twitch.tv/ToeKneeTM:

    The potential winner will be notified by email (to the address provided via Gleam.io) no later than January 15, 2026, at 11:59:59 PM Pacific Time (UTC-8).
	
	The Administrator shall have no liability for a winner's failure to receive notices due to spam, junk email, or other security settings, or for incorrect or non-functioning contact information.

    If a winner cannot be contacted, is ineligible, resides in an area that Elgato does not ship to, fails to claim the prize within seven (7) days from the time the award notification was sent, or fails to timely return a completed and executed declaration and release as required, the prize may be forfeited. In such cases, at the Administrator's sole discretion, an alternate winner may be selected. Only three (3) alternate drawings will be held, after which the prize will remain unawarded.

    Receipt of any prize is conditioned upon compliance with all federal, state, and local laws and regulations. Any violation of these Official Rules by a winner may, at the Sponsor's or Administrator's sole discretion, result in the winner's disqualification, and all privileges as a winner shall be immediately terminated.

11. Rights Granted by the Entrant
    By entering the Sweepstakes (including submitting any content such as photos, videos, text), You understand and agree that the Sponsor, Administrator, Elgato and anyone acting on behalf of the Sponsor or Administrator, and their respective licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, worldwide and in perpetuity, your entry, name, portrait, picture, voice, likeness, image, statements about the Sweepstakes, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without further compensation, notice, review, or consent.

    By entering, You represent and warrant that your entry is an original work of authorship and does not violate any third party's proprietary or intellectual property rights. If your entry infringes upon another's intellectual property rights, You will be disqualified at the sole discretion of the Sponsor or Administrator. If the content of your entry is claimed to constitute infringement of any third party's rights, You shall at your sole expense defend or settle such claims, and indemnify, defend, and hold harmless ToeKneeTM, the Sponsors, and the Administrator from and against any suit, proceeding, claims, liability, loss, damage, costs, or expense arising out of such infringement.

12. General Conditions / Terms and Conditions
    The Sponsor and Administrator reserve the right, in their sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes should a virus, bug, unauthorized human intervention, fraud, or other cause beyond their control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such cases, the Sponsor or Administrator may select a winner from eligible entries received before and/or after the action taken, if appropriate.

    The Sponsor and Administrator reserve the right, in their sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process, the operation of the Sweepstakes, or the website, or violates these Official Rules. They have the right, in their sole discretion, to maintain the integrity of the Sweepstakes and to void entries for reasons including, but not limited to: multiple entries from the same user from different IP addresses in excess of that allowed by the Sweepstakes rules, the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may violate criminal and civil laws, and the Sponsor or Administrator reserves the right to seek damages to the fullest extent permitted by law.

13. Release and Limitations of Liability
    By entering the Sweepstakes, You agree to release and hold harmless the Sponsors, Administrator, Elgato, and their subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors (the "Released Parties") from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) your participation in the Sweepstakes and/or acceptance, possession, use, or misuse of any prize or portion thereof; (ii) unauthorized human intervention in any part of the Sweepstakes; (iii) electronic or human error in the administration of the Sweepstakes or the processing of entries; (iv) technical errors of any kind; (v) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; or (vi) lost, late, misdirected, or undeliverable mail.

    In any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys' fees or punitive, consequential, direct, or indirect damages.

14. Disputes
    The Sweepstakes is governed by the laws of the United States and the State of Oregon, without respect to conflict of law doctrines. By participating in this Sweepstakes, You agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Oregon with jurisdiction. You further waive all rights to have damages multiplied or increased.

15. Privacy
    Personal information collected will only be used to administer the Sweepstakes and will not be retained beyond the promotional period except as necessary for fulfillment or legal compliance.

16. Publicity Rights
    Except where prohibited by law, by accepting a prize, You grant the Sponsor and Administrator the right to use and publish your name, likeness, voice, opinions, biographical information, and state and country of residence in any media for publicity, advertising, or promotional purposes without further compensation or notification.

17. Third-Party Platforms
    The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Facebook, X (Twitter), Instagram, TikTok, BlueSky, Twitch, YouTube, Reddit, Pinterest, LinkedIn, Snapchat, or any other social networks used to share the Sweepstakes. By participating, You understand that You are providing your information to the Sponsor and Administrator and not to these platforms.

18. Winner List
    To request a copy of the winners list, please contact the Sponsor at P.O. BOX 961, Madras, OR 97741. Requests must be sent within four (4) weeks of the end of the Entry Period. The Sponsor is not responsible for lost or undelivered mail.

19. Acceptance of Rules
    By participating in the Sweepstakes, You have affirmatively reviewed, accepted, and agreed to all of the Official Rules, Terms, and Conditions.

20. Severability
    If any term, provision, covenant, or condition of these Official Rules is held to be invalid, illegal, or unenforceable in whole or in part by a court of competent jurisdiction, such term or provision shall be severed and the remaining terms and provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Official Rules.
